TERMS AND CONDITIONS FOR THE USAGE OF PRAM EDUCATIONAL PLATFORM, PROVIDED BY PRAM EDUCATE IT SOFTWARE LLP ("PRAM")

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING, BROWSING, OR USING PRAM WEBSITE, EDUCATION ERP, OR MOBILE APPLICATION, INCLUDING ANY ONLINE SERVICES PROVIDED THEREIN COLLECTIVELY CALLED "PRAM EDUCATIONAL PLATFORM" .

THESE TERMS AND CONDITIONS ("TERMS") GOVERN THE USE OF PRAM EDUCATIONAL PLATFORM, WHICH IS OWNED AND OPERATED BY PRAM. BY ACCESSING, BROWSING, OR OTHERWISE USING PRAM EDUCATIONAL PLATFORM, YOU ("USER") ACKNOWLEDGES AND AGREES TO BE LEGALLY BOUND BY THESE TERMS.

PRAM MAKES NO REPRESENTATIONS OR WARRANTIES THAT ITS SERVICES / PRAM EDUCATIONAL PLATFORM ARE LAWFUL OR PERMISSIBLE IN ANY PARTICULAR JURISDICTION. THE USER BEARS THE SOLE RESPONSIBILITY FOR ENSURING COMPLIANCE WITH ALL APPLICABLE LOCAL LAWS. IF ANY PROVISION OF THESE TERMS IS DETERMINED TO BE UNLAWFUL, VOID, OR UNENFORCEABLE IN ANY JURISDICTION, SUCH DETERMINATION SHALL NOT AFFECT THE VALIDITY OR ENFORCEABILITY OF THE REMAINING PROVISIONS.

IF THE USER DOES NOT AGREE TO ANY PROVISION OF THESE TERMS, THE USER IS EXPRESSLY PROHIBITED FROM ACCESSING OR UTILIZING THE PRAM EDUCATIONAL PLATFORM AND MUST IMMEDIATELY CEASE ALL USE. CONTINUED ACCESS OR USE OF THE PRAM EDUCATIONAL PLATFORM SHALL CONSTITUTE THE USER'S IRREVOCABLE ACCEPTANCE OF THESE TERMS IN THEIR ENTIRETY.

PRAM RESERVES THE RIGHT TO TERMINATE USER ACCESS TO THE PRAM EDUCATIONAL PLATFORM AT ANY TIME, WITHOUT PRIOR NOTICE AND WITHOUT PROVIDING ANY REASON THEREFOR.

Access & Usage Rights: (A) Grant of Access and Permitted Use: Access to PRAM EDUCATIONAL PLATFORM is strictly granted for lawful, professional, and authorized use. USER agrees to use PRAM EDUCATIONAL PLATFORM responsibly and shall not engage in any activity that compromises the integrity, performance, security, or intended functionality of PRAM EDUCATIONAL PLATFORM. Prohibited actions include, but are not limited to, uploading, generating, or inputting junk, fraudulent, misleading, or unnecessary data. (B) Monitoring and Enforcement: PRAM reserves the right to monitor the usage of PRAM EDUCATIONAL PLATFORM to ensure compliance with these terms. If any misuse, abuse, or unauthorized activity is detected, PRAM may issue a warning to the user, requiring immediate rectification. In the event of repeated violations or continued non-compliance, PRAM, at its sole discretion, reserves the right to restrict, suspend, or terminate access to the Services without prior notice in order to maintain the reliability, functionality, and overall user experience of PRAM EDUCATIONAL PLATFORM.

Intellectual Property Rights: (A) Copyright and Proprietary Rights: Unless expressly stated otherwise, all content available on PRAM EDUCATIONAL PLATFORM—including but not limited to text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, software, and underlying source code—is the exclusive property of PRAM or its licensors and is protected under applicable copyright, trademark, and intellectual property laws. Users are strictly prohibited from reproducing, transmitting, publishing, distributing, performing, broadcasting, storing, modifying, adapting, sublicensing, displaying, hyperlinking, or otherwise using any part of the content available on PRAM EDUCATIONAL PLATFORM without the prior written consent of PRAM. Furthermore, Users are expressly prohibited from embedding, mirroring, framing, or linking any part of PRAM EDUCATIONAL PLATFORM, including but not limited to content, webpages, or application features, without PRAM's prior written authorization. All content provided through PRAM EDUCATIONAL PLATFORM—including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software—is the property of PRAM or its content suppliers and is protected by copyright laws. Users agrees to respect the intellectual property rights of PRAM and its licensors and shall not copy, reproduce, modify, distribute, display, perform, or create derivative works based on the content of PRAM EDUCATIONAL PLATFORM without prior written permission from PRAM. Users acknowledge that any unauthorized use of copyrighted material obtained through PRAM EDUCATIONAL PLATFORM may constitute an infringement of PRAM's or its content suppliers' rights and may result in legal action. Users agrees to comply with all applicable copyright laws and regulations while using PRAM EDUCATIONAL PLATFORM and shall refrain from engaging in any activities that infringe upon the intellectual property rights of PRAM or its content suppliers. By using PRAM EDUCATIONAL PLATFORM, Users expressly agrees to abide by this Copyright and Proprietary Rights Clause and acknowledges PRAM's and its content suppliers' exclusive ownership rights in the content made available through PRAM EDUCATIONAL PLATFORM. (B) Trademark and Branding Rights: All trademarks, service marks, trade names, logos, and branding elements displayed on PRAM EDUCATIONAL PLATFORM (collectively, **“Marks”**) are the exclusive property of PRAM and/or respective third-party proprietors as identified within PRAM EDUCATIONAL PLATFORM. Users are granted no license or right, whether express or implied, to use any Marks without prior written authorization from PRAM. Unauthorized use of any Marks, including but not limited to using Marks as a hyperlink, domain name, or branding element, is strictly prohibited and may constitute a violation of applicable intellectual property laws. PRAM reserves the right to take appropriate legal action against any unauthorized use of its Marks or other proprietary materials.

Amendments and Modifications: PRAM reserves the right to amend, modify, or update these Terms and Conditions at its sole discretion, without prior notice. Any such changes shall be effective upon posting on PRAM EDUCATIONAL PLATFORM. USER are responsible for reviewing these Terms periodically for any updates or modifications. Continued use of PRAM EDUCATIONAL PLATFORM following the implementation of any changes shall constitute acceptance of the revised Terms and Conditions

Disclaimer: The information and materials contained in or accessed through this PRAM EDUCATIONAL PLATFORM are provided on an "as is" and "as available" basis and are of a general nature which have not been verified, considered or assessed by PRAM in relation to the making of any specific transactional, investment, business, financial or commercial decision. Such information and materials are provided for general information only and USER should seek professional advice at all times and obtain independent verification of the information and materials contained herein before making any decision based on any such information or materials. PRAM does not warrant the truth, accuracy, adequacy, completeness or reasonableness of the information and materials contained in or accessed through this PRAM EDUCATIONAL PLATFORM and expressly disclaims liability for any errors in, or omissions from, such information and materials. No warranty of any kind, implied, express or statutory (including but not limited to, warranties of title, merchantability, satisfactory quality, non-infringement of third-party intellectual property rights, fitness for a particular purpose and freedom from computer virus and other malicious code), is given in conjunction with such information and materials, or this PRAM EDUCATIONAL PLATFORM in general. Under no circumstances shall PRAM be liable regardless of the form of action for any failure of performance, system, server or connection failure, error, omission, interruption, breach of security, computer virus, malicious code, corruption, delay in operation or transmission, transmission error or unavailability of access in connection with USER accessing PRAM EDUCATIONAL PLATFORM even if PRAM had been advised as to the possibility. In no event shall PRAM be liable to USER or any other party for any damages, losses, expenses or costs whatsoever (including without limitation, any direct, indirect, special, incidental or consequential damages, loss of profits or loss opportunity) arising in connection with USER use of PRAM EDUCATIONAL PLATFORM, or reliance on any information, materials or online services provided at PRAM EDUCATIONAL PLATFORM, regardless of the form of action and even if PRAM had been advised as to the possibility of such damages.

Hyperlinks: For USER convenience, PRAM may include hyperlinks to PRAM EDUCATIONAL PLATFORM that are owned or operated by third parties. Such linked websites or services are not under the control of PRAM and PRAM cannot accept responsibility for the contents of or the consequences of accessing any linked website or any link contained in a linked website. Furthermore, the hyperlinks provided in PRAM EDUCATIONAL PLATFORM shall not be considered or construed as an endorsement or verification of such linked websites or the contents therein. USER agrees that USER access to and/or use of such linked websites is entirely at USER own risk and subject to the terms and conditions of access and/or use contained therein.

Indemnity: USER hereby agrees to indemnify and save PRAM harmless against all damages, losses, expenses and costs (including legal costs) suffered or incurred by PRAM in connection with or arising from (A) USER access of PRAM EDUCATIONAL PLATFORM, or (B) any other party's access of this PRAM EDUCATIONAL PLATFORM using USER user id and/or login password, or (C) USER breach of any of these Terms and Conditions of Access, or (D) any other party's breach of any of these Terms and Conditions of Access where such party was able to access PRAM EDUCATIONAL PLATFORM by using USER user id and/or login password.

Miscellaneous: The information and materials contained in or accessed through PRAM EDUCATIONAL PLATFORM herein are subject to change (including, without limitation, modification, deletion or replacement thereof) without notice. USER are expected to regularly check PRAM EDUCATIONAL PLATFORM for any changes to be abreast of the most up-to-date information. USER shall be responsible for obtaining and maintaining all computer hardware, internet and other equipment needed for access to and use PRAM EDUCATIONAL PLATFORM and other related links.

Acceptance of Terms: By downloading, installing, or using PRAM EDUCATIONAL PLATFORM, USER agrees to be bound by these Terms and any additional terms and conditions that may apply to specific services or features within PRAM EDUCATIONAL PLATFORM. If USER does not agrees with these Terms, USER must immediately cease using PRAM EDUCATIONAL PLATFORM.

Use of PRAM EDUCATIONAL PLATFORM: USER must be at least 18 years old or have reached the age of legal majority in USER jurisdiction to use PRAM EDUCATIONAL PLATFORM. By using PRAM EDUCATIONAL PLATFORM, USER represents that USER meets this requirement. USER are solely responsible for ensuring the security and confidentiality of the USER account and password used to access PRAM EDUCATIONAL PLATFORM. USER agrees to notify us immediately of any unauthorized use of the USER account or any other breach of security.

Limitation of Liability: USER expressly understands and agrees that PRAM, its affiliates, officers, directors, employees, agents, and licensors shall not be liable to USER for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from (a) The use or inability to use PRAM EDUCATIONAL PLATFORM; (b) Unauthorized access to or alteration of USER transmissions or data; (c) Statements or conduct of any third party on PRAM EDUCATIONAL PLATFORM; or (d) Any other matter relating to PRAM EDUCATIONAL PLATFORM. PRAM shall not be liable for any loss or damage arising out of or in connection with USER reliance on any information provided by PRAM EDUCATIONAL PLATFORM. USER acknowledges that PRAM EDUCATIONAL PLATFORM may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. PRAM shall not be responsible for any delays, delivery failures, or other damage resulting from such problems.

Indemnification: USER agrees to indemnify and hold harmless PRAM, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) USER use of PRAM EDUCATIONAL PLATFORM; (b) USER violation of these Terms; (c) USER violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) Any claim that USER use of PRAM EDUCATIONAL PLATFORM caused damage to a third party.

Modifications to Terms: PRAM reserves the right to modify or replace these Terms at any time. What constitutes a material change will be determined at PRAM sole discretion. By continuing to access or use PRAM EDUCATIONAL PLATFORM after any revisions become effective, USER agrees to be bound by the revised Terms. If USER does not agrees to the new Terms, USER must stop using PRAM EDUCATIONAL PLATFORM.

Prohibited Use: USER agrees not to misuse PRAM EDUCATIONAL PLATFORM. Misuse includes, but is not limited to: (a) Using PRAM EDUCATIONAL PLATFORM for any unlawful purpose; (b) Attempting to gain unauthorized access to any portion or feature of PRAM EDUCATIONAL PLATFORM, or any other systems or networks connected to PRAM EDUCATIONAL PLATFORM, through hacking, password mining, or any other means; (c) Transmitting any viruses, worms, defects, Trojan horses, or any items of a destructive nature through PRAM EDUCATIONAL PLATFORM; (d) Interfering with or disrupting the integrity or performance of PRAM EDUCATIONAL PLATFORM or the data contained therein; (e) Using PRAM EDUCATIONAL PLATFORM to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) Uploading or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable; (g) Impersonating any person or entity, including but not limited to a PRAM official, forum leader, guide, or host, or falsely stating or otherwise misrepresenting USER affiliation with a person or entity; (h) Collecting or storing personal data about other USER without their express consent; (i) Violating any applicable laws or regulations in USER jurisdiction regarding USER use of PRAM EDUCATIONAL PLATFORM. PRAM reserves the right to investigate and take appropriate legal action against anyone who, in its sole discretion, violates this provision, including without limitation, removing the offending content from PRAM EDUCATIONAL PLATFORM, suspending or terminating the account of such violators, and reporting USER to the appropriate authorities. USER acknowledges that misuse of PRAM EDUCATIONAL PLATFORM may result in civil or criminal liability, and PRAM shall not be liable for any damages or losses resulting from USER misuse of PRAM EDUCATIONAL PLATFORM. By using PRAM EDUCATIONAL PLATFORM, USER agrees not to misuse PRAM EDUCATIONAL PLATFORM in any way and acknowledges that violation of this provision may result in the termination of USER access to PRAM EDUCATIONAL PLATFORM and legal consequences.

Termination of Access: PRAM reserves the right to terminate or suspend USER access to PRAM EDUCATIONAL PLATFORM without prior notice if it determines, in its sole discretion, that USER have violated these Terms or engaged in misuse of PRAM EDUCATIONAL PLATFORM. PRAM may, but is not obligated to, monitor USER use of PRAM EDUCATIONAL PLATFORM to ensure compliance with these Terms. If PRAM believes, in its sole discretion, that USER actions violate these Terms or pose a risk to the security or integrity of PRAM EDUCATIONAL PLATFORM, PRAM may terminate or suspend USER access to PRAM EDUCATIONAL PLATFORM immediately, without prior notice or liability. USER agrees that PRAM shall not be liable to USER or any third party for any termination or suspension of USER access to PRAM EDUCATIONAL PLATFORM, including but not limited to any loss of data, content, or functionality. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees that PRAM reserves the right to terminate or suspend USER access to PRAM EDUCATIONAL PLATFORM without prior notice if USER are found to be misusing PRAM EDUCATIONAL PLATFORM or violating these Terms.

Data Responsibility and Liability: PRAM shall not be responsible for any user data stored, transmitted, or processed through PRAM EDUCATIONAL PLATFORM. This includes but is not limited to data loss, data deletion, or data leaks. USER acknowledges and agrees that they are solely responsible for maintaining backup copies of their data and ensuring the security and integrity of their data. USER shall not hold PRAM liable for any data loss, data deletion, or data leaks that may occur. PRAM shall not be liable for any damages or losses resulting from data breaches, data leaks, or unauthorized access to user data, whether caused by third parties, technical failures, or any other reasons. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees that PRAM shall not be responsible for any user data and shall not be held liable for any data loss or data leak that may occur.

Cyber Attacks and Misconduct: In the event of a cyber attack, unauthorized access, or any other security breach affecting PRAM EDUCATIONAL PLATFORM, including but not limited to incidents involving PRAM employees, vendors, or contractors updating the PRAM EDUCATIONAL PLATFORM with inappropriate data or pictures, USER agrees not to hold PRAM liable for any resulting damages, losses, or disruptions. USER acknowledges that while PRAM employs reasonable security measures to protect PRAM EDUCATIONAL PLATFORM and its USER' data, no system can be entirely immune from cyber attacks or misconduct by USERs with access to the system. USER agrees that PRAM shall not be held responsible for any malfunction, disruption, or misbehavior of PRAM EDUCATIONAL PLATFORM resulting from such incidents, whether caused by external actors, internal misconduct, technical failures, or any other reasons. PRAM shall not be liable for any damages, losses, or inconvenience suffered by USER as a result of cyber attacks or misconduct affecting PRAM EDUCATIONAL PLATFORM. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees that PRAM shall not be held liable for any damages, losses, or disruptions resulting from cyber attacks, unauthorized access, or misconduct affecting PRAM EDUCATIONAL PLATFORM, whether perpetrated by external actors or USERs associated with PRAM.

Government Data Sharing: PRAM reserves the right to share all user data collected through PRAM EDUCATIONAL PLATFORM with government authorities if requested to do so, without the consent of the USER. USER acknowledges and agrees that PRAM may disclose user data to government authorities in accordance with applicable laws, regulations, or legal processes, including but not limited to orders, subpoenas, or requests from law enforcement agencies. PRAM shall not be obligated to inform the USER when their data is shared with government authorities, and USER shall not hold PRAM liable for such disclosures. USER acknowledges that PRAM may be required by law to share user data with government authorities and agrees not to hold PRAM liable for complying with such legal obligations. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees that PRAM may share their data with government authorities if requested to do so, without informing USER, and USER shall not hold PRAM liable for such disclosures.

Technical Issues Disclaimer: PRAM shall not be liable for any disruptions, unavailability, or downtime of PRAM EDUCATIONAL PLATFORM resulting from technical issues with the operating systems (such as iOS, Android, Windows, etc.) or PRAM EDUCATIONAL PLATFORMs on which PRAM EDUCATIONAL PLATFORM operates. USER acknowledges that the availability and performance of PRAM EDUCATIONAL PLATFORM may be affected by technical issues beyond the control of PRAM, including but not limited to software bugs, hardware failures, network outages, and updates or changes to operating systems or PRAM EDUCATIONAL PLATFORMs. USER agrees not to hold PRAM liable for any damages, losses, or inconvenience resulting from the unavailability or downtime of PRAM EDUCATIONAL PLATFORM due to technical issues with operating systems or PRAM EDUCATIONAL PLATFORMs. PRAM shall make reasonable efforts to address and resolve any technical issues affecting the availability or performance of PRAM EDUCATIONAL PLATFORM, but makes no guarantees regarding the timeliness or success of such efforts. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees that PRAM shall not be held liable for disruptions, unavailability, or downtime of PRAM EDUCATIONAL PLATFORM due to technical issues with operating systems or PRAM EDUCATIONAL PLATFORMs, and USER accept the inherent risks associated with using software PRAM EDUCATIONAL PLATFORMs in a dynamic technological environment.

Data Access and Usage: Data Collection: PRAM collects and processes various types of USER data to provide and improve PRAM services. This may include personal information such as USER name, email address, and usage data. Usage of Data: PRAM uses the collected data to: a. Provide, maintain, and improve the PRAM EDUCATIONAL PLATFORM and services. b. Personalize USER experience and provide content that is relevant to USER. c. Communicate with USER, including sending updates and notifications. d. Analyze usage trends and improve the PRAM EDUCATIONAL PLATFORM's functionality and user experience.

Data Sharing & Security: PRAM implements appropriate technical and organizational measures to protect USER data against unauthorized access, alteration, disclosure, or destruction. However, PRAM cannot guarantee absolute security of USER data. PRAM does not share USER personal data with third parties except in the following circumstances: a. With USER consent. b. Without USER consent with service providers who perform functions on our behalf, such as payment processing, data analysis, and marketing services. c. Without USER consent to comply with legal obligations, enforce our terms and conditions, or protect our rights. PRAM may access, modify and use user data for internal purposes, including but not limited to improving the functionality, performance, and user experience of PRAM EDUCATIONAL PLATFORM. PRAM may use user data to correct errors, enhance features, and optimize the performance of PRAM EDUCATIONAL PLATFORM, with or without the consent of the USER. USER acknowledges and agrees that PRAM may access, modify and use their data for the purposes outlined in this clause and have no objection to such access, modification and usage. USER have the right to access, correct, or delete USER personal data. USER may also object to the processing of USER data or request the restriction of processing. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees that PRAM may access, modify and use their data for internal purposes, including improving PRAM EDUCATIONAL PLATFORM and optimizing user experience, with or without their consent, and USER have no objection to such access, modification and usage. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees that PRAM may access, modify and use their data for internal purposes, including improving PRAM EDUCATIONAL PLATFORM and optimizing user experience, with or without their consent, and USER have no objection to such access, modification and usage.

Non-Refundable Payments: Payments made by USER to PRAM for any services, subscriptions, or purchases within PRAM EDUCATIONAL PLATFORM are non-refundable. USER acknowledges and agrees that once a payment is made to PRAM, it is non-refundable, regardless of whether the user subsequently discontinues the use of the services or terminates their account. USER shall not seek or demand refunds from PRAM for payments made within PRAM EDUCATIONAL PLATFORM and shall not hold PRAM liable to pay back any such payments. PRAM reserves the right to modify, suspend, or terminate its payment policies at any time, without prior notice to USER. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees that payments made to PRAM for services, subscriptions, or purchases within PRAM EDUCATIONAL PLATFORM are non-refundable, and USER shall not seek refunds or hold PRAM liable to pay back any payments made.

Payment Transaction Failure Disclaimer: PRAM shall not be liable for any losses or damages incurred by USER due to payment transaction failures, regardless of the reason for such failures. USER acknowledges and agrees that PRAM shall not be responsible for payment transaction failures resulting from factors beyond its control, including but not limited to network issues, banking system failures, payment gateway errors, or insufficient funds. USER accepts that they undertake payment transactions within PRAM EDUCATIONAL PLATFORM at their own risk, and PRAM shall not be held liable for any financial losses or inconveniences arising from payment transaction failures. USER agrees not to hold PRAM liable for any damages, losses, or expenses incurred as a result of payment transaction failures and acknowledges that they bear full responsibility for ensuring the successful completion of their payment transactions. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees that PRAM shall not be liable for any losses or damages resulting from payment transaction failures, and USER accepts this risk without holding PRAM liable for such failures.

Facility Operations Disclaimer: PRAM acts solely as a facilitator between USER of PRAM EDUCATIONAL PLATFORM and service providers / vendors of transportation, hostel facilities, and any other services or facilities offered through PRAM EDUCATIONAL PLATFORM. PRAM does not own, operate, or control the transportation, hostel facilities, or any other services or facilities provided through PRAM EDUCATIONAL PLATFORM.

USER acknowledges and agrees that any inconvenience, loss, or misuse experienced in relation to transportation, hostel facilities, or any other services or facilities provided through PRAM EDUCATIONAL PLATFORM is not the responsibility of PRAM. USER agrees not to hold PRAM liable for any damages, losses, or inconveniences arising from the use or misuse of transportation, hostel facilities, or any other services or facilities provided through PRAM EDUCATIONAL PLATFORM. USER acknowledges that PRAM does not guarantee the quality, safety, or reliability of transportation, hostel facilities, or any other services or facilities provided through PRAM EDUCATIONAL PLATFORM, and USER use such services or facilities at their own risk. USER are requested to provide all relevant documents to PRAM through PRAM EDUCATIONAL PLATFORM to expedite the onboarding process. USER acknowledges and agrees that PRAM shall not be held liable for any delays in user onboarding or offboarding on PRAM EDUCATIONAL PLATFORM. By using PRAM EDUCATIONAL PLATFORM, students and parents acknowledges and agrees to the terms regarding "application convenience fees" as outlined above, and understand that PRAM may charge such fees (which is non-refundable) for the convenience of using PRAM EDUCATIONAL PLATFORM payment gateway for transactions related to ONBOARDS.

(A) USER Responsibility for NGO Legitimacy: USER are solely responsible for verifying the legitimacy, credibility, and compliance of the NGO they choose to support. PRAM does not endorse, audit, or validate any NGO's operations, financial practices, or regulatory compliance. USER must conduct their own due diligence before making any donation. (B) No Warranties or Guarantees: PRAM makes no representations, warranties, or guarantees, express or implied, regarding: (Bi) The legitimacy, use, or impact of donated funds, goods, or services by any NGO. (Bii) Any tax benefits or deductions that may apply to the donor. (Biii) The effectiveness or reliability of any NGO's programs or initiatives. PRAM does not assume any responsibility for how NGOs use donations. Donors are encouraged to consult with their financial, tax, or legal advisors before making any contributions. USER acknowledge the risk of fraud and agree that PRAM shall not be responsible for any fraudulent solicitations, scams, or misrepresentations made by NGOs or third parties. (E) No Endorsement or Partnership: The presence of an NGO on PRAM's platform does not imply endorsement, partnership, affiliation, or verification by PRAM. PRAM does not conduct background checks on NGOs and does not assume responsibility for their actions, commitments, or financial practices. (G) Dispute Resolution Clause: In the event of any dispute between a USER and an NGO related to a donation, PRAM shall not be involved in mediation, arbitration, or litigation. (H) Limitation of LiabilityTo the fullest extent permitted by applicable law, PRAM, its affiliates, directors, officers, employees, licensors, service providers, and agents shall not be liable for any: (Hi) Direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from any donation. (Hii) Financial, reputational, or operational loss resulting from donations made to an NGO. (Hiii) Issues arising from third-party involvement in donation transactions, including payment processors, banks, or logistics providers. USER expressly acknowledge and agree that PRAM is not responsible for the handling, processing, or utilization of donations by any NGO. PRAM does not monitor, track, or verify the receipt, distribution, or usage of donations by NGOs. (I) No Refunds or ReimbursementsSince PRAM does not collect donations, all donation transactions are solely between the donor and the respective NGO. Any requests for refunds or reimbursements must be directed to the NGO. PRAM does not intervene in donation disputes or claims. Affiliate Marketing and USER Information Disclaimer: USER of PRAM EDUCATIONAL PLATFORM and affiliate marketing members acknowledges and agrees that PRAM shall not be held liable for any financial or other losses incurred due to misleading information provided by affiliate marketing members or other USER of PRAM EDUCATIONAL PLATFORM. PRAM reserves the right to remove or ban any affiliate marketing member from PRAM EDUCATIONAL PLATFORM without prior notice. Affiliate marketing members acknowledges and agrees that they will not hold PRAM liable for any financial or other losses incurred as a result of their removal or ban from PRAM EDUCATIONAL PLATFORM. USER and affiliate marketing members are responsible for verifying the accuracy and reliability of information provided by others on PRAM EDUCATIONAL PLATFORM and should exercise caution and due diligence. Affiliate marketing members acknowledges and agrees that taxes will be deducted at source on the commissions paid to them, in accordance with applicable tax laws. Affiliate marketing members agrees to comply with the tax deduction requirements and will not hold PRAM liable for the deduction of taxes on their commissions. By using PRAM EDUCATIONAL PLATFORM, USER and affiliate marketing members acknowledges and agrees to the terms regarding misleading information and the potential removal of affiliate marketing members as outlined above, and understand that PRAM shall not be held liable for any financial or other losses incurred in these contexts.

USER & Academic Institution Verification and Service Termination Disclaimer: PRAM reserves the right to verify the legitimacy of all USERS, including but not limited to schools, colleges, universities, and coaching classes, registered on PRAM EDUCATIONAL PLATFORM. If PRAM determines, at its sole discretion, that an institution has falsely registered as a recognized school, college, university, or coaching class to gain unauthorized access to free services, PRAM reserves the right to immediately terminate all services provided to the institution without prior notice. The institution/USER expressly acknowledges and agrees that PRAM shall not be held liable for any consequences arising from such termination, including but not limited to financial losses, operational disruptions, or reputational damage. The institution/USER further waives any right to seek compensation, damages, or remedies from PRAM resulting from the termination of services due to false registration. By registering on and using PRAM EDUCATIONAL PLATFORM, institutions and individuals acknowledges and agrees to the verification and service termination terms set forth above and expressly understand that PRAM shall not be held liable for any issues, losses, or damages resulting from the enforcement of these provisions.

PRAM EDUCATIONAL PLATFORM Customization Disclaimer: PRAM provides customization options for PRAM EDUCATIONAL PLATFORM at its discretion. Institutions & USER acknowledge and agrees that free customization of the web application is not a mandatory service, and PRAM is not obligated to deliver any requested customizations. Institutions & USERs understand and accept that PRAM may decline or delay customization requests without any obligation to provide reasons for such decisions. Institutions & USERs agrees not to hold PRAM liable for any financial or other losses resulting from the non-fulfillment or delay of customization requests. By using PRAM EDUCATIONAL PLATFORM, institutions & USERs acknowledges and agrees to the terms regarding web application customization as outlined above, and understand that PRAM is not obligated to fulfill customization requests and shall not be held liable for any losses arising from the non-fulfillment or delay of such requests.

Account or Role Deletion by USER: If a user deletes their account or Role on PRAM EDUCATIONAL PLATFORM, all data related to that account / role will be permanently deleted and cannot be recovered. USER acknowledges and agrees that by deleting their account / role, they accept the permanent loss of all associated data. USER agrees not to hold PRAM liable for any data loss resulting from the account / role deletion. USER also agrees not to claim any financial or other losses from PRAM , its promoters, directors, or employees due to the permanent deletion of their data following the account deletion. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees to the terms regarding account / role deletion as outlined above, and understand that PRAM shall not be held liable for any data or financial losses resulting from the user-initiated deletion of an account / role.

Multi-Language Content Disclaimer: PRAM EDUCATIONAL PLATFORM offers content in multiple languages to accommodate a diverse user base. While PRAM strives to provide accurate and complete translations, it does not guarantee the accuracy or completeness of the translated content. USER acknowledges and agrees that translations may contain errors or omissions and that PRAM shall not be held liable for any data or financial losses resulting from translation inaccuracies. USER can report any translation issues to PRAM at contact@pram.education for review and correction. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees to the terms regarding multi-language content and translations as outlined above, and understand that PRAM shall not be held liable for any issues or losses resulting from translation inaccuracies.

Maintenance and Updates: Regular maintenance and updates are essential for the proper functioning of PRAM EDUCATIONAL PLATFORM. During such periods, the PRAM EDUCATIONAL PLATFORM or certain features may be temporarily unavailable. PRAM will strive to perform maintenance during off-peak hours to minimize disruptions to USER. USER acknowledges and agrees that temporary unavailability of the PRAM EDUCATIONAL PLATFORM or its features due to maintenance and updates is necessary for improving the service. USER agrees not to hold PRAM liable for any data loss or financial losses resulting from the temporary unavailability of the PRAM EDUCATIONAL PLATFORM or its features due to maintenance and updates.

Dissolution of PRAM & PRAM EDUCATIONAL PLATFORM: In the event that PRAM or PRAM EDUCATIONAL PLATFORM or its services are dissolved for any reason, and user data is purged or becomes unavailable to USER of PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees that they will not hold PRAM liable for any such occurrences. USER agrees not to claim any financial or other losses from PRAM, its promoters, directors, or employees resulting from the dissolution of the company or the unavailability of user data. If any user subscription money balance remains with PRAM at the time of dissolution, USER acknowledges and agrees that the money will not be refunded. USER will not claim a refund of such money and will not hold PRAM liable for any losses arising from the non-refund of subscription money. By using PRAM EDUCATIONAL PLATFORM, USER acknowledges and agrees to the terms regarding the potential dissolution of PRAM services as outlined above, and understand that PRAM shall not be held liable for any losses arising from the dissolution of the company, the unavailability of user data, or the non-refund of any subscription money balance.

GLOBAL LEGAL LIABILITY WAIVER: General Indemnification Clause: USER agrees to indemnify, defend, and hold harmless PRAM, its officers, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from: (A) USER's use or misuse of PRAM EDUCATIONAL PLATFORM; (B)USER's violation of these Terms; (C) USER's violation of any applicable laws, regulations, or third-party rights. No Legal Claims Against PRAM: To the maximum extent permitted by law, USER waives any right to initiate or participate in any class-action lawsuit, arbitration, or legal proceedings against PRAM regarding any issues arising from the use of PRAM EDUCATIONAL PLATFORM. Jurisdictional Disclaimer: PRAM does not warrant that its services are legally permitted in all jurisdictions. USER is solely responsible for ensuring compliance with local laws. If any provision of these Terms is found to be unlawful or unenforceable in any jurisdiction, it shall not affect the validity of the remaining provisions. Limitation of Recourse: Under no circumstances shall PRAM's total liability exceed the amount paid by the USER, if any, for accessing PRAM EDUCATIONAL PLATFORM in the 12 months preceding the event giving rise to liability.

Governing Law and Jurisdiction: Nothing herein shall be construed as a representation by PRAM that the information and materials contained in or accessed through PRAM EDUCATIONAL PLATFORM is appropriate or available for use in geographic areas or jurisdictions other than India. By accessing PRAM EDUCATIONAL PLATFORM, USER agrees that such access and/or use, as well as these Terms and Conditions of Access shall be governed by and construed in accordance with Laws of India and USER hereby agrees to submit to the non-exclusive jurisdiction of Courts of India. In case of any dispute arising the matter shall be referred to Arbitration as per the Arbitration and Conciliation Act, 1996 and any amendments made to it from time to time. The Arbitration shall be conducted by a Sole Arbitrator appointed by PRAM. The language of the Arbitration shall be English and the venue shall be Pune, Maharashtra. Courts at Pune shall have the exclusive jurisdiction. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
